CMR Affiliate Terms and Conditions

AGREEMENT
This Agreement contains the complete terms and conditions that apply to
an individual or company's participation in the Commission Manager
Affiliate Referral Program (the "Program") or ("CMR"). As used in this
Agreement, "Company" means Cross Marketing Rewards, "Products" are
the products promoted, and "Affiliate" means the individual and/or
company indicated in the registration form which by reference is made a
part of this agreement. Participation To participate in the this
Affiliate Referral Program, the Affiliate registration form must be
completed and submitted to Cross Marketing Rewards (CMR). All
applicants, once approved, are immediately eligible to participate in
the Affiliate Referral Program however such participation is subject to
ongoing, periodic review by CMR and may be revoked at anytime without
notice. Participation may be suspended or terminated if we determine
(at our sole discretion) that your site is unsuitable for the Program.
Unsuitable sites include those that: Promote illegal activities,
promote sexually explicit materials, promote violence, promote
discrimination based on race, sex, religion, nationality, disability,
sexual orientation, or age, violate intellectual property rights or are
otherwise deemed inconsistent with the best interests of CMR. This
Agreement shall apply to Affiliate owned and managed web sites, and all
Affiliate managed virtual spaces where Affiliate promotes the Products
through postings of Products in the Program as made available in the
CMR Affiliate Control Panel. CMR shall not share or distribute any
Affiliate information, including email address, with any other
marketing companies, individuals, email distribution lists, or
promotional firms. The Information submitted by Affiliate is only used
for the purpose of accurate tracking of referrals and fulfilling the
obligation of remitting commissions payments to Affiliates.
Once you have completed the online application you will be presented
with graphical artwork, and choices of linking formats to use in
forwarding traffic to the participating websites in this CMR program.
The following rules must be adhered to and may be updated without
notice:
1. CMR Affiliates shall not monetize sign ups or purchases (offer their
referrals or subaffiliates money for purchasing goods and / or signing
up from this program).
2. Affiliates understand that this designation as Affiliate by no means
transfers any proprietary or exclusive rights to the affiliate of the
brands they promote.
3.The Affiliate acts responsibly in representing their affiliate links
and content and does not make false claims about the products in the
CMR system.
4. Affiliates will not direct referrals to Program's Products through
unsolicited means including spamming and spyware.
5. This relationship is purely that of independent contractors, and the
affiliate understands that this agreement serves as a contract that may
be terminated by either party at any time without reason.
6. Disclaimers - We make no express or implied warranties or
representations with respect to the Affiliate Referral Program or any
products sold through the Affiliate Referral Program (including,
without limitation, warranties of fitness, merchantability,
non-infringement, or any implied warranties arising out of a course of
performance, dealing, or trade usage). In addition, we make no
representation that the operation of our site will be uninterrupted or
error-free, and we will not be liable for the consequences of any
interruptions or errors. 7. Jurisdiction - This Agreement will be
governed by the laws of the United States and the state of Washington
State, without reference to rules governing choice of laws. Any action
relating to this Agreement must be brought in the federal or state
courts located in Olympia, Washington State and you irrevocably consent
to the jurisdiction of such courts. You may not assign this Agreement,
by operation of law or otherwise, without our prior written consent.
Subject to that restriction, this Agreement will be binding on, inure
to the benefit of, and enforceable against the parties and their
respective successors and assigns. Our failure to enforce your strict
performance of any provision of this Agreement will not constitute a
waiver of our right to subsequently enforce such provision or any other
provision of this Agreement.
